1. Acceptance of Terms
By accessing and using this Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms, along with our Privacy Policy. This agreement is a binding contract between you and Fluid Financial Technologies Inc, hereafter Fluid.
2. Definitions
“Platform”: Refers to the employee onboarding website and any associated mobile applications or online services provided by Fluid.
“Account”: Your unique access credentials for logging into the Platform and completing onboarding tasks.
“Content”: All text, graphics, videos, documents, policies, and other materials provided by Fluid on the Platform.
“Proprietary Information”: Information that is confidential, proprietary, or otherwise sensitive, including company trade secrets and other protected data accessible only to authorized users on the Platform.
“Personal Information”: Data related to an individual that is collected, processed, and stored in compliance with Fluid’s Privacy Policy and applicable data protection laws.
3. Purpose of the Platform
The Platform is provided for Fluid’s employer clients and their employees and contractors to facilitate:
- Completion of onboarding and employment forms.
- Access to training materials.
- Understanding of company policies and procedures.
- Communication with the Human Resources (HR) department.
4. Account Registration and Security
- Account Creation: Employer users must create an account to access the Platform. All information provided must be accurate, complete, and kept up-to-date.
- Confidentiality: You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account.
- Prohibited Use of Credentials: Sharing or transferring your account or login credentials with anyone else is prohibited and may result in account suspension or termination.
5. Privacy and Data Protection
Your personal data collected through the Platform will be handled according to Fluid 's [Privacy Policy] and applicable data protection laws.
6. California Privacy Rights
Under California Civil Code Section 1798.83, operators of websites are required to allow California residents to request and receive a list of any personal information disclosed to third parties for direct marketing purposes during the prior calendar year, as well as the names and addresses of those third parties. However, Fluid does not disclose any personal information collected through this site to third parties for direct marketing purposes.
7. Restrictions of Use
Users of this Platform agree to use it solely for lawful purposes and in accordance with these Terms. You expressly agree not to:
- Copy, distribute, modify, or create derivative works from any content, software, or materials on the Platform without prior written permission from Fluid.
- Reverse engineer, decompile, or disassemble any software or features of the Platform.
- Engage in any activity that disrupts, damages, or impairs the performance or security of the Platform, including introducing viruses, malware, or harmful code.
- Attempt unauthorized access to any part of the Platform, or to other users’ accounts, or otherwise bypass security measures.
- Use the Platform for any fraudulent or illegal activities or to impersonate any individual or entity.
- Harvest or collect any information about other users or the Platform’s contents for unsolicited marketing purposes.
- Reproduce or distribute any confidential information or proprietary material from the Platform, except as expressly permitted for employment purposes.
8. Intellectual Property Rights
- Company Ownership: All content, trademarks, logos, and other intellectual property displayed on the Platform are owned by or licensed to Fluid and are protected by applicable intellectual property laws.
- Limited License: Fluid grants you a limited, non-exclusive, non-transferable license for personal use, or your employer’s business purposes to access and use the Platform for the purpose of entering or accessing employee onboarding data.
- Proprietary Information: The Platform may include confidential and proprietary information belonging to Fluid . You agree not to disclose, copy, or misuse any proprietary information accessed through the Platform.
9. Confidentiality
- As a user of the Platform, you may have access to confidential company information. You agree not to disclose, use, or share any proprietary information accessed through the Platform, except as required for your employment.
10. Content Uploaded by Users
- Responsibility for Content: You are solely responsible for the information you upload or submit to the Platform, including ensuring it is accurate and free from any false information.
- License to Use Content: By submitting content to the Platform, you grant Fluid a non-exclusive, royalty-free, worldwide license to use, reproduce, and display your content as needed to facilitate employee onboarding.
11. Third-Party Services and Links
The Platform may include links to third-party websites or services not controlled by Fluid . Fluid does not endorse and is not responsible for the content, privacy policies, or practices of these third parties.
12. Limitation of Liability
- To the maximum extent permitted by applicable law, Fluid and its affiliates, officers, directors, employees, agents, or licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to your use of the Platform.
- Fluid ’s total liability to you for all claims related to the Platform is limited to the amount you paid, if any, to access or use the Platform.
13. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. Fluid does not warrant that:
- The Platform will meet your specific requirements.
- The Platform will be uninterrupted, timely, secure, or error-free.
- Any errors or defects in the Platform will be corrected.
14. Termination of Access
- Fluid reserves the right to suspend or terminate your access to the Platform at any time, without notice, for conduct that it believes violates these Terms or is otherwise harmful to Fluid or its users.
- Upon termination, you must immediately cease all access and use of the Platform.
15. Modifications to the Platform and Terms
- Fluid may modify or discontinue, temporarily or permanently, the Platform or any part thereof, with or without notice.
- Fluid reserves the right to modify these Terms at any time. The most current version of the Terms will be available on the Platform, and continued use of the Platform constitutes acceptance of any changes.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of Utah, without regard to its conflict of law provisions. Any disputes arising from these Terms or use of the Platform shall be resolved in the courts of Utah.
17. Severability
If any provision of these Terms is deemed invalid or unenforceable, that provision will be enforced to the maximum extent possible, and the remaining provisions will remain in full force and effect.

19. SMS Terms and Conditions
- Message Frequency: You may receive SMS messages at various times during the onboarding process, including reminders, status updates, and important notifications. Message frequency will vary based on your interaction with the Platform.
- Message and Data Rates: Standard message and data rates may apply depending on your mobile carrier and plan. Contact your carrier for details regarding applicable charges.
- No Liability for Delayed or Undelivered Messages: Fluid is not responsible for delays in, or failures to deliver, SMS messages as delivery depends on transmission from your mobile service provider.
